บทคัดย่อ
วิจัยเรื่อง ปัญหาการบังคับใช้พระราชบัญญัติธุรกิจนำเที่ยวและมัคคุเทศก์ พ.ศ. 2551 นี้ มี วัตถุประสงค์เพื่อศึกษาลักษณะและรูปแบบของการทำธุรกรรมในประเทศไทยโดยตัวแทนอำพราง และ ศึกษาความเป็นมาของการประกอบธุรกิจนำเที่ยวในประเทศไทย พร้อมเสนอแนะการพัฒนากฎหมาย เกี่ยวกับการทำธุรกรรมของคนต่างด้าว วิจัยเรื่องนี้ใช้ระเบียบวิธีวิจัยด้วยการวิเคราะห์เอกสารเป็นหลัก โดยเฉพาะเอกสารที่เกี่ยวกับปัญหาการกำหนดสัดส่วน การถือหุ้นของการประกอบธุรกิจนำเที่ยวของคน ต่างด้าว และบทกำหนดโทษของตัวแทนอำพราง ที่ถือหุ้นแทนผู้ประกอบธุรกิจชาวต่างชาติ ตาม พระราชบัญญัติธุรกิจนำเที่ยวและมัคคุเทศก์ พ.ศ. 2551 และฉบับแก้ไขครั้งที่ 2 พ.ศ. 2559
ผลการวิจัยพบว่า การประกอบธุรกิจนำเที่ยวในประเทศไทย มีสัดส่วนของผู้ถือหุ้นที่เป็นคน ต่างชาติในบางบริษัทเกือบ 100% และบางครั้งก็อาศัยช่องว่างทางกฎหมาย ทำการว่าจ้างคนไทยเป็น ตัวแทนอำพรางในการถือหุ้นแทนชาวต่างด้าว จึงก่อให้เกิดปัญหาในการจัดเก็บรายได้เข้าประเทศ และ เมื่อเกิดปัญหากับนักท่องเที่ยว ผู้ประกอบธุรกิจที่เป็นชาวต่างชาติไม่ได้อยู่ดำเนินการแก้ไขปัญหาได้อย่าง ทันท่วงที เพราะยังอยู่ต่างประเทศ อีกทั้งไม่มีบทกำหนดโทษสำหรับผู้ประกอบธุรกิจต่างด้าวที่จ้างคนไทยเป็นตัวแทนอำพราง จึงทำให้ไม่เกรงกลัวกฎหมาย ดังนั้น ปัญหาดังกล่าวนี้ ล้วนเป็นปัญหาข้อ กฎหมายที่ต้องได้รับการแก้ไข เพื่อให้อุตสาหกรรมการท่องเที่ยวภายในประเทศไทยมีเสถียรภาพมากขึ้น ในทุกด้าน และบังคับใช้กฎหมายได้จริงตามเจตนารมณ์ของกฎหมาย
Abstract
This research on the Problems of Enforcement in Tour Business and Guide Act A.D. 2008 aims to study the characteristics and model of transactions in Thailand by camouflage agents, to study the history of tour business operations in Thailand, and together with suggesting the development of laws regarding alien transactions.
The research is mainly based on documentary analysis especially documents relating to the proportioning problem shareholding of foreign tour businesses, and penalties for camouflage agents holding shares on behalf of foreign businessmen according to the Tour Business and Guide Act A.D. 2008 and the 2nd Amendment A.D. 2016. The research found out that the proportion of tour business in Thailand belongs to the foreign entrepreneurs almost 100%, and sometimes--rely on legal gap--hiring Thai people as a camouflage agent for shareholders on behalf of foreigners. This is main problems in revenue collection in Thai country. Once the problems with tourists is needed, foreign business operators are not in the process of resolving the problem suddenly because of staying at their own country. Moreover, there is no any penalties for foreign entrepreneurs who hire Thai people as camouflage. That’s why they do not fear the law’s guiltiness. Therefore, these mentioned problems are all legal problems that must be resolved to make sure that the tourism industry in Thailand is more stable in all aspects, and actually enforce the law in accordance with the real spirit of the law.
